These Terms of Service (“Terms”) govern your access to and use of adxpep.com (the “Site”) and any purchase you make through it. The Site is operated by ADX Wellness (“we,” “us,” “our”). By accessing the Site or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

1. Eligibility and Permitted Purpose

You may use the Site and purchase products only if you are at least 18 years of age and are acquiring products on behalf of a qualified research institution, laboratory, or facility for legitimate in vitro research purposes.

All products sold on this Site are supplied strictly for laboratory research use. They are not drugs, dietary supplements, cosmetics, or food. They are not for human or animal consumption, are not for diagnostic or therapeutic use, and have not been evaluated by the U.S. Food and Drug Administration.

By placing an order you represent and warrant that you will not administer, resell, or repackage the products for human or animal use, and that you will handle, store, and dispose of them in accordance with all applicable laws, regulations, and accepted laboratory safety practice.

2. No Medical Claims

Nothing on the Site — including product descriptions, research summaries, and any linked literature — constitutes medical advice or a claim that any product diagnoses, treats, cures, mitigates, or prevents any disease or condition. References to published research are provided for scientific context only and do not imply safety or efficacy in humans.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Provide accurate and current information, including the name of the laboratory or research facility you are purchasing for, and notify us promptly of any unauthorised use. We may suspend or terminate accounts that contain false information or that are used in breach of these Terms.

4. Orders, Pricing, and Availability

All orders are offers to purchase and are subject to our acceptance. We may refuse, limit, or cancel any order at our discretion, including where we suspect the order is not for legitimate research use, where a product is mispriced or listed in error, or where we cannot lawfully supply the destination.

We make reasonable efforts to describe products and display prices accurately, but we do not warrant that descriptions, pricing, availability, or other content is error-free or current. Prices are in U.S. dollars and are subject to change without notice. You are responsible for any applicable taxes and duties.

5. Payment

Payment is processed by third-party providers at checkout. By submitting payment information you represent that you are authorised to use the payment method. Orders are not dispatched until payment is confirmed.

6. Shipping, Returns, and Refunds

Shipping terms are set out in our Shipping Policy, and return, replacement, and refund terms are set out in our Return & Refund Policy. Both are incorporated into these Terms by reference.

7. Acceptable Use

You agree not to use the Site for any unlawful purpose; to attempt to gain unauthorised access to any part of the Site or its systems; to introduce malicious code; to scrape, harvest, or systematically extract data; to interfere with the Site’s operation or security; or to use the Site in a way that infringes the rights of others.

8. Intellectual Property

All content on the Site — including text, graphics, logos, product photography, layout, and software — is owned by ADX Wellness or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, republish, or create derivative works from Site content without our prior written consent. You may view and print content for your own internal, non-commercial reference.

9. Disclaimer of Warranties

Except as expressly stated in the certificate of analysis supplied with a given lot, products and the Site are provided “as is” and “as available” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the fullest extent permitted by law, ADX Wellness and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or relating to the Site or the products, whether based in contract, tort, strict liability, or otherwise, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site or any product will not exceed the amount you paid for the product giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ADX Wellness and its officers, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Site, your purchase or handling of products, your breach of these Terms, or any use of products outside their intended laboratory research context.

12. Third-Party Links

The Site may contain links to third-party websites that we do not control. We are not responsible for their content, policies, or practices, and inclusion of a link does not imply endorsement.

13. Suspension and Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for conduct we believe violates these Terms or is harmful to us, other users, or third parties. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — will survive.

14. Changes to These Terms

We may revise these Terms from time to time. Revised Terms will be posted on this page with an updated date and take effect when posted. Your continued use of the Site after that constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law provisions. You agree that any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Duval County, Florida, and you consent to the personal jurisdiction of those courts.

16. Severability and Entire Agreement

If any provision of these Terms is held unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. These Terms, together with our Privacy Policy, Shipping Policy, and Return & Refund Policy, constitute the entire agreement between you and ADX Wellness regarding the Site.
